Terms of Use

Welcome to Floto (“Floto,” “we,” “us,” or “our”). Floto is a photography platform based in Orlando, Florida, created to help people discover, connect with, and support photographers based throughout Florida.
These Terms of Use (“Terms”) govern your access to and use of the Floto website, platform, features, content, memberships, and services (collectively, the “Platform”).
By accessing or using Floto, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Platform.
1. Eligibility
You must be at least 18 years old to create an account, purchase a membership, submit content, or use features that require registration or payment.
By using Floto, you represent that you meet these requirements and that the information you provide is accurate and current.
2. Floto's Services
Floto provides an online platform where photographers and other users can:
Create and maintain photographer profiles
Upload and display photographs and other permitted content
Discover photographers based in Florida
Share photography-related work and projects
Publish posts on the Floto Feed
Submit or discover opportunities, announcements, events, and other photography-related posts through the Board
Read articles, interviews, insights, and other editorial content
Access tools and resources provided by Floto
Participate in other features that Floto may introduce from time to time
Floto is a platform and community. Unless expressly stated otherwise, Floto does not employ, represent, endorse, or act as an agent for photographers or other users.
3. Accounts
Certain features require you to create a Floto account.
You are responsible for:
Providing accurate information
Keeping your account information up to date
Maintaining the confidentiality of your login credentials
All activity occurring through your account
Notifying us if you believe your account has been accessed without authorization
You may not create an account using another person's identity, create an account for someone else without permission, or provide false or misleading information.
We reserve the right to suspend or terminate accounts that violate these Terms or otherwise create a risk to Floto or its community.
4. Photographer Profiles
Photographers may create profiles to showcase their experience, specialties, location, portfolio, social links, and other information.
You are responsible for ensuring that the information contained in your profile is accurate and that you have the right to publish all information and materials you submit.
Floto does not guarantee that every photographer listed on the Platform is professionally licensed, insured, experienced, available, or suitable for a particular project.
Users should independently evaluate and verify photographers before hiring or working with them.
5. User Content
The Platform allows users to upload and publish photographs, text, descriptions, profile information, links, posts, projects, and other materials (“User Content”).
You retain ownership of the intellectual property rights in your User Content.
By submitting User Content to Floto, you grant Floto a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, format, and promote that User Content as reasonably necessary to operate, maintain, improve, and promote the Platform.
This license may include displaying your photographs or profile on Floto's website, social media, newsletters, promotional materials, or other Floto marketing channels.
You may request removal of your User Content, subject to any legal, technical, or operational requirements that may require us to retain certain information.
6. Your Responsibility for User Content
You are solely responsible for the User Content you submit.
You represent and warrant that:
You own the content or have obtained all necessary rights and permissions to use and publish it
Your content does not knowingly infringe another person's copyright, trademark, privacy, publicity, or other rights
You have obtained appropriate permission from identifiable individuals when required by applicable law
Your content does not contain unlawful, fraudulent, defamatory, threatening, or abusive material
Your content does not violate these Terms or applicable law
Your submission does not contain malicious software or other harmful code
Floto does not claim ownership of your photography merely because you upload it to the Platform.
7. Copyright and Intellectual Property
Floto respects intellectual property rights.
You may not upload, publish, or distribute content that you do not have the legal right to use.
If you believe content on Floto infringes your copyright or other intellectual property rights, you may contact us at info@floto.xyz.
Floto may remove or restrict access to content that we reasonably believe violates intellectual property rights or these Terms.
8. Feed
The Floto Feed allows photographers and members to share photography and related content with the community.
Floto may organize, moderate, feature, or remove Feed content at its discretion.
Being featured on Floto does not constitute an endorsement, certification, or guarantee by Floto.
9. Board
The Floto Board may contain photography-related opportunities, announcements, events, collaborations, open calls, grants, workshops, and other posts.
Floto does not guarantee the accuracy, legitimacy, availability, funding, compensation, safety, or outcome of any opportunity posted by a user or third party.
Users are responsible for independently verifying opportunities and determining whether they are appropriate for them.
Floto is not a party to agreements, employment relationships, collaborations, transactions, or other arrangements that may result from Board posts.
10. User Interactions
Floto allows users to discover and connect with other photographers and members.
You are solely responsible for your interactions and communications with other users.
Floto does not conduct background checks on users unless explicitly stated otherwise.
You should exercise appropriate caution when communicating with or meeting people you discover through the Platform.
Floto is not responsible for disputes, injuries, losses, damages, fraud, misconduct, or other issues arising from interactions between users.
11. Prohibited Conduct
You may not use Floto to:
Violate any applicable law or regulation
Infringe another person's intellectual property or other rights
Impersonate another person or organization
Provide false or misleading information
Harass, threaten, stalk, or abuse another person
Publish fraudulent or deceptive opportunities
Upload malicious software or harmful code
Attempt to gain unauthorized access to accounts or systems
Scrape, copy, harvest, or systematically collect information from the Platform without our permission
Use Floto for spam or unauthorized advertising
Upload sexually explicit, exploitative, hateful, or excessively violent content
Promote illegal activities
Interfere with the operation or security of the Platform
We may remove content or restrict accounts that violate these requirements.
12. Memberships and Paid Services
Floto may offer free and paid memberships or other paid services.
Current membership options, prices, benefits, and billing terms will be presented to you before purchase.
If you purchase a recurring membership, you authorize Floto or its payment provider to charge the applicable membership fee according to the billing schedule presented at checkout.
You are responsible for maintaining accurate billing information.
Floto may change its pricing or membership offerings in the future. Any changes to recurring membership pricing will be communicated as required by applicable law.
13. Founding Member Membership
Floto may offer a Founding Member plan for a one-time payment.
Unless otherwise stated at the time of purchase, the Founding Member plan does not require recurring membership payments or renewals.
The specific benefits included with the Founding Member plan are those described by Floto at the time of purchase.
Floto may introduce new features or benefits to the Platform in the future. The addition, modification, or retirement of features does not necessarily create an obligation to provide every future feature to Founding Members unless expressly stated.
14. Refunds and Cancellations
Refund eligibility depends on the membership or service purchased and the applicable refund terms presented at checkout.
Unless otherwise stated, cancellation of a recurring membership prevents future renewals but does not automatically entitle you to a refund for a billing period that has already begun.
Where required by applicable law, Floto will provide refunds or other remedies required by law.

15. Floto's Intellectual Property
The Floto name, logo, branding, website design, original text, graphics, software, features, and other materials created by Floto are owned by or licensed to Floto and are protected by applicable intellectual property laws.
You may not reproduce, modify, distribute, sell, license, reverse engineer, or commercially exploit Floto's proprietary materials without our prior written permission.
Your use of Floto does not grant you ownership of any Floto intellectual property.
16. Third-Party Services and Links
Floto may contain links to third-party websites, services, social media platforms, payment processors, or other resources.
We do not control and are not responsible for third-party websites or services.
Your use of third-party services is governed by their respective terms and privacy policies.
17. Platform Availability
We aim to keep Floto available and functioning properly, but we do not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.
We may modify, suspend, restrict, or discontinue portions of the Platform at any time.
We are not responsible for losses resulting from temporary or permanent interruptions to the Platform, except where prohibited by applicable law.
18. Content Moderation
Floto may review, moderate, restrict, or remove User Content that we believe violates these Terms, applicable law, or the purpose of the Platform.
We are not obligated to monitor all User Content.
The fact that content remains available on the Platform does not mean that Floto endorses or verifies it.
19. Account Suspension and Termination
You may stop using Floto at any time.
We may suspend or terminate your account or restrict access to the Platform if we reasonably believe that you:
Violated these Terms
Violated applicable law
Engaged in fraudulent or harmful activity
Misused the Platform
Created a risk to Floto, its users, or third parties
Termination does not eliminate obligations that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.
20. Disclaimer of Warranties
To the fullest extent permitted by law, Floto is provided on an “as is” and “as available” basis.
Floto does not guarantee:
The accuracy or completeness of user-submitted information
The quality or reliability of photographers
The legitimacy or availability of Board opportunities
That a photographer will be available, qualified, or suitable for a particular project
That the Platform will meet your particular requirements
That the Platform will always operate without interruption or errors
That content available through the Platform will always be accurate, current, or complete
You use the Platform at your own discretion and risk.
21. Limitation of Liability
To the fullest extent permitted by applicable law, Floto and its owners, operators, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of, or inability to use, the Platform.
This includes, without limitation, losses arising from interactions with photographers or other users, Board opportunities, User Content, transactions, communications, or third-party services.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
22. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Floto and its owners, operators, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, and expenses arising from or related to:
Your use of the Platform
Your User Content
Your violation of these Terms
Your violation of another person's rights
Your violation of applicable law
23. Privacy
Your use of Floto is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information.
By using Floto, you acknowledge that you have reviewed our Privacy Policy.
24. Changes to These Terms
We may update these Terms from time to time.
When we make changes, we may update the Effective Date at the top of this page and provide additional notice when required by law.
Your continued use of Floto after updated Terms become effective constitutes acceptance of the revised Terms.
25. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.
To the extent permitted by law, disputes relating to these Terms or your use of Floto will be subject to the applicable state or federal courts located in or serving Orange County, Florida.
26. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
27. Entire Agreement
These Terms, together with any policies or additional terms expressly incorporated into them, constitute the agreement between you and Floto regarding your use of the Platform and supersede prior agreements concerning the same subject matter.
